GENERAL TERMS AND CONDITIONS OF SALE

L’ATELIER 4.0, a simplified joint stock company (“société par actions simplifiée” – SAS) under French law with a capital of €2,000, has its registered office at: 20 rue de l’ancien courrier 34000 Montpellier, France. Article 1: Introduction
L’ATELIER 4.0 SAS is a professional training organisation with its registered office at 20 rue de l’ancien courrier, 34000 Montpellier (France). These Terms of Sale apply to all training services offered by L’Atelier 4.0 and are systematically delivered to the client. Each order therefore implies full and unreserved acceptance of these Terms of Sale, which prevail over any other document of the client. Any general or particular terms and conditions opposed by the client cannot, except by formal and written acceptance of L’Atelier 4.0, prevail over the present Terms of Sale. The client undertakes to ensure compliance with these Terms of Sale by all its employees.

Article 2: Contractual documents
Once the service has been officially formalised, L’ATELIER 4.0 sends a training contract drawn up in accordance with the laws and regulations in force. To be valid, the contract must be duly completed with the name, first name and information relating to the client(s), and duly signed and stamped by an authorised representative of the client. The signed contract must be sent to L’ATELIER 4.0 SAS at least three weeks before the start of the training by email or to the postal address indicated above. Any training service begun implies acceptance of these Terms of Sale. At the end of the training, L’ATELIER 4.0 undertakes to send each trainee the attendance certificates concerning him/her.

Article 3: Conditions of cancellation
Any cancellation of the service must reach L’ATELIER 4.0 SAS in writing at least fifteen clear days before the start of the first session. Any course started is due in its entirety, unless both parties agree. Similarly, if a trainee does not show up or does not notify his absence at least 48 hours in advance, he/she will be billed as if he/she had attended the training session. In case of cancellation of a session by L’ATELIER 4.0 SAS, for any reason whatsoever, the company will ensure that trainees are notified as soon as possible.

Article 4: Rates
The price of the service is in accordance with the price list in force at the time the order is placed. It includes training fees. However, it does not include any supplementary transport and accommodation costs that may be incurred. All prices are exclusive of VAT and are to be increased by the current VAT rate.

Article 5: Preparation
The time spent by L’ATELIER 4.0 SAS to prepare the training sessions will be part of the agreement set up in the contract and is included in the hourly rate.

Article 6: Regulations
Payment is to be made upon receipt of the invoice, outright, without discount, by bank transfer or cheque payable to L’ATELIER 4.0 SAS, at the latest within thirty days from the date indicated on the invoice. No extension of the payment deadline is granted, and, in the event of delay, L’ATELIER 4.0 may suspend all orders in progress as well as future work. After the due date, a late payment penalty will be calculated at the legal rate, i.e. 1.3% per month (French law n° 92-1442 of 31 December 1992), payable upon simple request by L’ATELIER 4.0 SAS. The client will reimburse all the expenses caused by the contentious recovery of the amounts due, including the fees of officers of the law (bailiffs) or court officers. The fixed compensation for recovery costs due to the creditor in case of late payment is set at €40 (French decree n°2012-1115 of 02/10/2012).

Article 7: Intellectual Property
All documents delivered or used during the training are original works and, as such, are protected by intellectual property and copyright law. Consequently, the trainee and the client agree not to use, copy, transmit or more generally use all or part of these documents without the prior written consent of L’ATELIER 4.0 SAS. They may under no circumstances be resold or made available to the public in any form whatsoever, including electronic.

Article 8: Confidentiality
The parties undertake to keep confidential the information and documents obtained concerning the other party during the training relationship, whatever their nature (business, commercial, technical, educational materials, etc.).

Article 9: Information Technology and Liberties
In accordance with the law n°78-17 of 6 January 1978, known as the “Loi informatique et libertés”, updated by the law of 6 August 2004, known as “Loi pour la confiance dans l’économie numérique”, the client has the right to access, rectify and suppress any information concerning him/her. This right can be exercised by written request, by e-mail or by post.

Article 10: Reference listing
The client authorises L’ATELIER 4.0 SAS to add his/her name and logo to L’ATELIER’s list of references. If the client does not wish to appear in the SEO list, he/she must notify us in writing.

Article 11: Possible disputes
These Terms of Sale are governed by French law. If a dispute cannot be settled amicably, the case will be referred to the court of Montpellier.
